ARTICLE I - NAME AND OBJECTIVES

SECTION 1. This Association shall be known as the North Carolina Association of County Agricultural Agents, Inc.

SECTION 2. The objectives of this Association shall be two fold: assisting County Agricultural Agents in effecting improvements in the conditions for all workers in the profession of Agricultural Extension education and advancing the basic importance and position of agriculture in our national welfare.

ARTICLE II - MEMBERSHIP

SECTION 1. The District Directors shall secure the names of all new agents coming to work in their respective Districts. They shall turn such names over to an appointed Membership Committee who shall contact these new workers, informing them of the workings of the Association and extend them an invitation for membership.

SECTION 2. Field and University faculty and assistant agents of North Carolina State University and North Carolina A & T State University having Extension appointments and responsibilities related to agriculture/natural resources are eligible for full membership. Retired NCSU and A&T faculty formerly holding Extension appointments in agriculture/natural resources are eligible for membership upon payment of current dues but cannot vote or hold office.

ARTICLE III - STATEMENT OF PRINCIPLE

SECTION 1. It is mutually agreed and understood as a statement of principle that all ethnic and speciality groups will be represented fairly, according to the membership, and will be given the opportunity to participate in the workings of the organization and involved in the decision-making functions as they pertain to the general welfare of the Association.

ARTICLE IV - OFFICERS, DELEGATES AND DIRECTORS

SECTION 1. The Officers of this Association shall be a President, a President-Elect, a Vice-President, a Secretary, a Treasurer and the Immediate Past President.

SECTION 2. The President, President-Elect, Vice-President, Secretary and Treasurer shall be elected at the Annual Meeting of this Association and each shall hold office for one year or until his successor is elected and qualified. The term of office shall be from the close of the next National Meeting of the NCACAA to the close of the following National Meeting.

SECTION 3. Each District of the Association will elect one Director and one Vice-Director on the basis of representation as stated in Article III, Section 1. The terms for District Officers shall run concurrently with the State Officers.

SECTION 4. The District Director and Vice-Director, or appointed Alternates, will represent the District on the Executive Board.

SECTION 5. At any and each Annual Meeting of the Association, the Directors for each District and the State Officers shall compose the Executive Board of the Association.

SECTION 6. The Executive Board shall determine the method of selecting delegates to the National Meeting.

ARTICLE V - MANNER OF NOMINATING, VOTING AND ELECTING

SECTION 1. Election of State officers shall be by ballot of the entire Association at its Annual Meeting.

SECTION 2. Voting by proxy in the Annual Meeting of this Association will not be allowed.

SECTION 3. Voting by mail may be allowed at the discretion of the Executive Board of all questions except election of officers.

ARTICLE VI - MEETINGS AND PLACES OF MEETINGS

SECTION 1. There shall be one Annual meeting of the North Carolina Association of County Agricultural Agents to be held at the time and place designated by the Executive Board.

SECTION 2. Other meetings of this Association may be held at the call of the President at times andplaces and for purposes designated by the Executive Board.

SECTION 3. A State Meeting of the Association shall be called at any time on written petition of representatives of twenty (20) or more counties.

ARTICLE VII - COMMITTEES

SECTION 1. All committees, except the Executive Committee shall be appointed by the President, as provided in the Bylaws.

SECTION 2. The number of committees and the nature and extent of their duties shall be such as the Executive Board believes will best carry out the program of work of the Association.

ARTICLE VIII - FEES

SECTION 1. The annual membership dues shall be payable January 1 for the current year. The amount of the State and National Dues to be set at the Annual State Meeting. District Associations can set and collect additional dues to take care of District expenses. The Board of Directors will make recommendations for change in membership dues for State and National Associations.

SECTION 2. Changes in membership dues may be made by a majority of those present at any Annual or Special Meeting provided a 15-day written or electronic mail notice is given to all members.

ARTICLE IX - QUORUMS

SECTION 1. A quorum at any Annual or called Special Meeting of the North Carolina Association of County Agricultural Agents shall consist of representatives of twenty (20) or more counties.

SECTION 2. A quorum of the Executive Board shall consist of not less than a majority of the Directors and one officer.

ARTICLE X - AMENDMENTS

SECTION 1. This Constitution and Bylaws which are now adopted or may here after be adopted, may be amended, revised or repealed at any Annual or Special Meeting of this Association by an affirmative vote of two-thirds of the members present and voting provided that a proper and sufficient notice of that proposed changes, revisions or repeals has been mailed or electronically mailed by the North Carolina Association of County Agricultural Agents Secretary to the members not less than thirty (30) days prior to the opening date of said Annual or Special Meeting.

SECTION 2. All amendments or revisions so made shall go into effect immediately.
